Job Summary

The Assistant Treasurer is responsible for all aspects of CN's Treasury front office activities, from the development of strategies all the way down to implementation and execution of transactions and trades. The incumbentinteracts with a large number of internal and external stakeholders holding executive and senior-level positions.

Main Responsibilities

Development and Implementation of the Financing Plan and Establishment of the Liquidity Requirements

·Develop and implement the liquidity and funding plans to support the business plan

·Coordinate up to four lead banks and up to 10 co-manager banks, up to five law firms, three rating agencies, and a trustee

·Prepare and conduct the required business due diligence with various executives or senior managers within CN

·Monitor debt capital markets weekly to stay up to speed on the latest development, expected terms achievable, and to resolve best timing of issuances

·Put credit facilities in place through negotiation with up to 15 banks, or extend term of existing facilities insuring best in class terms

·Handle Merger and Acquisitions (M&A) financing ranging from uncommonly large transactions to participating in the structuring of bids or conducting due diligence on smaller acquisitions

·Raise funds through the loan markets

·Negotiate with landing institutions for best terms and coordinate with external legal firms for documentation of the loans

·Handle a portfolio of letters of credits (LCs)

·Put in place new LCs on a regular basis, ensures obsolete letters of credits are cancelled

·Coordinate between the bank, CN Legal, and the business unit requiring the LCs to ensure proper Legal documentation

·Negotiate fees with banks and terms with the party receiving the LC

·Assess costs and benefits of various financial opportunities and implement where required

·Act as a Subject Matter Expert (SME) to other departments on a variety of projects

Financial Risk Management

·Recommend and implement strategies to address all material financial risks faced by the corporation

·Build presentations supporting the recommendation for approval by the Board of Directors (BoD)and once approve, oversee the implementation involving financial hedges

·Oversee the foreign exchange risk and make recommendations to the BoD

·Oversee interest rate risks, make recommendations to the BoD, and implement an interest rate risk strategy

·Oversee equity risk and make recommendations to executives

·Build presentation to present to the BoD and senior management

Prepare Presentations for Key Stakeholders and Support Various Projects

·Develop presentations and information items to advance various recommendations to the Audit, Finance and Risk Committee of the BoD or to the Chief Financial Officer (CFO)

·Develop presentations to rating agencies, to fixed income investors, and others as needed

·Handle the relationships of up to 15 international financial institutions that are currently supporting CN's credit facilities

·Provide financial expertise on a wide array of significant projects (e.g., M&A, Real Estate, Captive insurance, stock-based compensation, pension, taxation)

·Review CN's customer credit risk profiles and propose risk mitigation measures where appropriate

·Review CN's payables policy and optimize payment terms and discount arrangements on prepayments

·Support financial reporting activities with significant input in all quarterly and yearly financial statements

·Present to new board members as part of their onboarding activities

Run Shareholder Distribution Activities

·Resolve optimal capital structure and the corresponding dividend policy and share repurchase programs

·Set up and execute share repurchase programs, coordinating CN's dealers in both the United States (U.S.) and Canada through private agreements

·Ensure timely submission of application to regulators and receipt of approval from regulators, coordinating with external legal firm

·Ensure the perfect execution of the repurchase program while minimizing the cost versus the average daily Volume Weighted Average Price (VWAP)

·Maintain good knowledge of complex products (e.g., Accelerated Share Repurchases) that could eventually be used by CN

·Prepare weekly and quarterly reports to executives and BoD

Maintain Relationships with Banks, Rating Agencies, and Other Parties

·Prepare annual presentation to 3 rating agencies (Moody's, S&P, DBRS) involving the CFO

·Keep a constant dialog and good relationship with all rating analysts to avoid any surprise

·Review periodic draft of rating reports produced by rating agencies before publication and suggest acceptable changes that are favourable to the company

·Forecast credit metric as per rating agency's methodology to eventually recommend to executives on capital structure

·Keep up to date detailed benchmarking with peers

·Act as financial authority supporting management decisions on large pension scheme

·Support financial leasing activities, with third parties or intercompany

Working Conditions

The role has standard working conditions in an office environment with a regular workweek from Monday to Friday, with overtime when required. Due to the nature of the role, the incumbent must be able to meet tight deadlines, handle pressure, and stress.

Requirements

Experience

Treasury

·Minimum 15 years of experience in a position related to a treasury function

Education/Certification/Designation

·Bachelor's Degree in Finance, Mathematics or Economics

·Chartered Financial Analyst (CFA) certification*

·Chartered Professional Accountant (CPA) certification or any other accounting designation*

·Master's Degree in Business Administration or Science (MBA, MSc)*

·Law Degree*

*Any designation for these above would be considered as an asset
