Corporate Paralegal

Based in Vancouver, the Corporate Paralegal will be responsible for providing expert paralegal knowledge, corporate legal services and select project management support to QuadReal's Legal Team and various departments across the organization. Reporting to the Manager, Corporate Legal Services, the Corporate Paralegal will work closely with QuadReal's Portfolio teams, Finance, Treasury and Tax, as well as external law firms and partners. As such, the Corporate Paralegal will have the opportunity to become familiar with legal entities operating in foreign jurisdictions andparticipate in a variety of business matters and transactions.

As a Corporate Paralegal You Will:

• Prepare, draft and manage basic to complex corporate and other legal documentation, including but not limited to documents and forms for transfers of shares and assets, change of officers/directors, banking resolutions, incorporations, post-incorporations, amalgamations, post-amalgamations, corporate reorganizations, dissolutions, documentation of flow of funds and other related transactional tasks

• Oversee and maintain virtual minute books, corporate database and corporate records for global legal entities

• Prepare corporate documentation for Federal and Provincial Canadian entities, including incorporations, name changes, alterations, amalgamations, restorations, dissolutions, annual resolutions, changes to directors and officers, banking resolutions, documentation of flows of funds and other related transactional tasks

• Prepare and file documentation for creating/maintaining limited partnerships, business names and extra-provincial registrations across Canada

• Respond to daily inquiries from lawyers, business teams and external counsel and handle day-to-day requests regarding corporate legal matters

• Perform due diligence reviews of corporate records and prepare rectification resolutions as necessary, conduct and review public searches in connection with due diligence matters

• Prepare complex legal entity structure charts

• Maintain up to date director, shareholder, manager and ISC registers

Your Background:

• Paralegal Diploma/Certificate

• 4 years of experience working in a law firm or in-house legal department

• Strong knowledge of legislation relevant to corporate law, including Canada Business Corporations Act, British Columbia Business Corporations Act

• Working Proficiency with Word, Outlook, Excel & PowerPoint

• Knowledge of Computershare GEMS an asset

The expected annualized base salary range for this role is $75,000 to $90,000.

The actual salary offered will take into consideration a wide array of factors including, but not limited to, the individual's skill, experience, education and training, the market compensation of the role, and the consideration to internal equity.
