The primary focus of this role is to manage, analyze, monitor and disburse Entitlement and Mandatory Corporate Reorganization events, ensuring the timely and accurate payment to participant accounts at CDS. A strong commitment to providing customer focused service through positive interactions with the financial community is a must.
The Mandatory Corporate Changes Processing Analyst is responsible for; coordinating and managing all Entitlement and Mandatory Corporate action/reorganization events, timely submission of securities to Transfer Agents, Paying Agents and/or DTC, and the receipt of proceeds in a timely manner ensuring prompt payment to CDS Participants. The Corporate Changes Processing Analyst liaison's and interacts with Participants, Depositary/Transfer Agents, Issuers, Lawyers, Underwriters, and Paying Agents in a cordial and professional manner to maintain effective coordination of the submission and payment processes.

Key accountabilities:

  • Effectively manage and administer all upcoming Mandatory Distributions and Reorganization files ensuring that payment dates and letters of transmittal are identified and the pertinent dates for submission of securities and receipt of payment are established.

  • Ensuring all upcoming Entitlement and Mandatory event information is analyzed and understood prior to payment date and critical dates are diarized for appropriate action.

  • Interact with Issuers, Transfer and Paying Agents, US Depository, Corporate Legal Counsel and other sources to confirm/clarify any information, legal or processing requirements related to the Event files.

  • Coordinate timely delivery, balancing of securities and the receipt of funds with the Depositary and Paying Agent on all Mandatory Distributions and Reorganization events to ensure all Participants are paid according to established dates and audit/security standards.

  • Submit all required documentation and/or Securities to Transfer Agents in a timely manner ensuring accuracy of the terms of the Distribution/Reorganization event including; ISIN/CUSIP, rates, payable date and amount of submission.

  • Follow up with the Transfer Agent, Depository Agent, Paying agent, DTCC, and Issuers as deemed necessary to confirm/verify details of payment.

  • Verify and balance payment prior to releasing payments to participants.

  • Research, analyze and resolve discrepancies promptly.

  • Adhere to the strict unit deadlines for turnaround of related information.

  • Strict adherence to TMX procedures, audit requirements and internal control verification process.

  • Quick and decisive resolution of problems and discrepancies and escalation of all complex/critical issues to ensure senior management's immediate action.

  • Check, prepare and submit the daily reports in a timely manner.

  • Recommend changes to existing processes, services and procedures to ensure we are meeting our customers' needs and operating in an efficient and effective environment at all times.

Must haves:

  • 2 - 3+ years' experience in Reorganizations/Corporate Action and Entitlement processing functions preferred

  • A good understanding of Trade Settlement Procedures is highly recommended

  • Strong knowledge of the various PC software systems (Google Suite of applications, Excel, Internet etc.)

  • Proficiency in English language (oral and written) is essential for this role, as the employee will be engaging with both internal and external stakeholders who primarily communicate in English

Nice to haves:

  • Canadian Securities Course is an asset.
